Constitution and By-Laws
of the
Columbus Sportsman’s Association, Inc
Article
I, Name
This
organization shall be known as the Columbus Sportsman’s
Association, Inc. (CSA).
CSA was
formed in 1964.
Article
II, Object
The
purpose of the Columbus Sportsman’s Association shall be to
promote an interest in target shooting of all kinds, to provide
fellowship through mutual interest, to encourage good
sportsmanship among its members. and to improve hunting and
fishing by the rearing and stocking of wildlife and improvement of
game habitat.
Article
III, Membership
Section
1. The membership of this association shall consist of such
sportsman as may care to associate themselves together for the
above purpose.
Section
2. To become a member, a candidate shall fill out an application
form and apply directly or indirectly to the secretary or
membership committee and shall be issued a membership card upon
payment of the required fee. All memberships so issued shall be
tentative memberships, subject to the final acceptance by the
Board of Directors at its next meeting. New members are also
required to complete the orientation program which reviews the
rules and regulations of the association.
Section
3. A member may be expelled for poor sportsmanship, unbecoming
conduct or any other reason considered by the Board of Directors
to be detrimental to the welfare of the association. A majority
vote of the Board of Directors shall be necessary for that
purpose. Any member so expelled may demand a hearing before any
regular or special meeting of the association. At such meeting, a
majority vote of members shall be necessary for final expulsion.
Any member so expelled automatically forfeits any dues paid to the
association.
Section
4. In support of the NRA, as well as, enhancing eligible for
grants and/or funding, membership of Columbus Sportsman’s
Association will record their NRA membership number with their CSA
membership. The Board of Directors will have the authority to wave
or adjust membership fees through the use of club assistance.
Article
IV, Meetings
Section1.
Monthly meeting of the association shall be held the third
Wednesday of every month at the clubhouse. Annual meetings of the
association shall be the 3rd Saturday in January. The
fiscal year for the association shall end December 31.
Section2.
Special meetings may be called at any time by the president, or by
the request of 3 board members, or by written request of any 10%
of the members.

3. A quorum shall consist of 8 board members, without which no
business may be legally transacted at any meeting.

Article
V, Officers
Section1.
The officers of the association shall consist of a president,
vice-president, secretary and treasurer. The 4 officers shall be
elected annually.
Section
2. The Board of Directors shall consist of 16 members (including
the 4 officers).
Section
3. The officers of the association shall be elected by nomination
and ballot at the annual meeting and shall take office
immediately. The method of nomination and election shall be as
follows: A Nominating Committee of 3 or more members shall be
appointed by the president. This committee shall submit a ballot
at the annual meeting containing at least 2 names for each office
and directorship to be filled. Additional nominations may be made
from the floor. In case of a tie vote for any office, a second
ballot shall be cast to break the tie, in which only the
candidates involved in the tie shall be voted upon. If the second
ballot results in a tie, the tie shall be broken by lot.
Section
5. Vacancies shall be filled by appointment by the remaining
members of the Board of Directors.
Section
6. Any officer or director may be removed from office by a vote of
2/3rds of the members present at any regular or special meeting of
the association.
Section
7. If any member of the Board of Directors shall miss 3
consecutive meetings (including regular, special or Board of
Directors meetings), his office shall automatically be declared
vacant and the vacancy filled according to Article V, Section 5.
Nothing in this section shall prevent the reappointment of the
person whose office was declared vacant.
Article
VI, Duties of the Officers and Committees
Section
1. President. The president shall call meetings of the members of
the association and of the Board of Directors, preside at all
regular and special meetings and have general supervision of the
affairs of the association.
Section
2. Vice-President. The vice-president in the absence of the
president shall assume the duties of that official.
Section
3. Secretary. The secretary shall be the official correspondent of
the association, shall maintain an active mailing list of all
members, shall validate all expenditures by the association and
shall keep the minutes of the meetings of the association and of
the Board of Directors. The secretary will also oversee the
responsibility as webmaster for CSA website.
Section
4. Treasurer. The treasurer shall keep the books of the
association according to the form specified by the board of
Directors, shall account for all monies received by the
association and sign all checks issued by the association. The
treasure shall also be responsible for the reporting and filing of
all required tax forms/reports.
Section
5. Board of Directors. The board of directors shall have general
control of the policies and activities of the association. The
board shall meet when called by the president or any three of it
members. A majority vote shall govern the action of the board. The
Board of Directors shall report at each association meeting upon
its activities since the last meeting of the association. These
reports must be included in the meetings minutes. There are twelve
director positions and 12 areas of concern. At the annual meeting
it will be decided as to which director will oversee the area of
concern. The area of concerns include;

Section
6. Membership Committee. The membership committee shall consist of
two co-chairpersons appointed by the Board of Directors annually.
The duties of the membership committee shall be to keep record of
all memberships, issue membership cards and receipts for dues. To
promote the sale of memberships and collection of dues.
Article
VII, Dues
Section
1. The annual membership dues for this association shall be $50.00
plus the amount set by the Board of Directors as the annual
maintenance fee. At this writing the maintenance fee is $25.00.
Membership period runs from Jan 1 to Dec 31, dues/fees are to be
paid by Feb 1. Family membership will be an additional $25.00. Any
new and approved 1st time member wishing to join after
Nov 1,of any year, will receive
membership through Dec 31 of the following year.
Section
2. Life membership dues for this association shall be $500.00 with
the same maintenance fee as an annual membership of $25.00. Annual
maintenance fees must remain current to sustain membership status.
When a member fails to pay the annual maintenance fees, to regain
full membership privileges all past due fees must be paid, the
Board of Director has the discretion to approve the member’s
payment (or partial payment in special cases i.e. military
service) and full membership privilege status.
NOTE:
Life memberships generally show commitment to the association on
behalf of the member, however, fiscally Life Membership do not
financially support the association long term. Therefore, as of
Jan 1 2010 all new life membership contributions will be handled
in the following manner. Upon the association receiving the
$500.00 plus $25.00, will place $75.00 in the general fund and the
balance of $450 will be deposited in an
escrow account where the annual interest, if directed by the
Board of Directors, can be withdrawn and placed into the general
account.
Maintenance
fees will be reviewed annually by the Board of Directors and on an
as needed basis recommend an adjustment as the association’s
fixed expenses change i.e. taxes, utilities, facility and grounds
maintenance. An increase in association membership may help reduce
the annual maintenance fee, however, a reduction in membership may
increase said fees.
Family
members of a life or annual membership holder may accompany
the membership holder and have full privileges. With the exception
of a spouse, all family members over the age of 18 will be
considered guests and need to follow the guidelines for club
guests.
Section
3. Associate
memberships are available in the following categories. These
membership’s are merely supporting memberships and do not hold
any privileges. Board of Directors need to approve these as they
approve regular memberships.
A.
Associate Membership. Many organizations have a desire to
use / rent our facilities. Associate membership may help support
the club.
B.
Senior Citizens who may have been members in the past but
no longer utilize the facility and/or grounds but would like to
support the club for future generations. Associate Membership
C.
Special interest groups may want to support a particular
activity or event.
D.
The fee for these memberships is $25.00 min annually. This
is not a full membership status, no keys will be issues and the
Associated Member would be treated as any other guest of the club.
Article
VIII, Amendments
This
constitution and these by-laws may be amended or altered by a vote
of 2/3rd of the members present at any annual meeting
or at any special meeting called for the purpose, provided that
written notice has been given to all members 5 days prior to the
meeting. Electric notice (e-mail) will be considered as written
notice.
Article
IX, Contracts, Loans, Checks and Deposits
Section
1. Contracts. The Board of Directors may authorize any officer or
officers, agent or agents, to enter into any contract or execute
and deliver any instrument in the name of and on behalf of the
corporation and such authorization may be general or specific
instances.
Section
2. Loans. No loans shall be contracted on behalf of the
corporation and no evidences of indebtedness shall be issued in
its name unless authorized by the or under the authority of a
resolution of the Board of Directors. Such authorization may be
general or confined to specific instances. All loans must be
submitted and approved by the membership in a regular meeting.
Section
3. Check, Drafts, etc. All checks, drafts or other orders for the
payment of money, notes or other evidences of indebtedness issued
in the name of the corporation, shall be signed by such officer or
officers, agent or agents of the corporation and in such manner as
shall from time to time be determined by or under the authority of
a resolution of the Board of Directors.
Section
4. Deposits. All funds of the corporation not otherwise employed
shall be deposited from time to time to the credit of the
corporation in such banks, trust companies or other depositories
as may be selected by or under authority of the Board of
Directors.
